PR3NC2 (“we,” “our,” or “us”) is a technology company providing software development, digital products, and business systems. These Terms govern all use of our services, websites, products, and client engagements.

1. Scope of Services

PR3NC2 provides services including but not limited to:

• Software development (web, mobile, and systems)
• Digital product design and deployment
• Business automation and system architecture
• Consulting and technical advisory services

2. Eligibility

You must be legally capable of entering into binding agreements to use our services. Where services are accessed by minors, a parent or legal guardian must provide consent.

3. Client Responsibilities

Clients agree to:

• Provide accurate and complete project requirements
• Respond to communication in a timely manner
• Supply necessary materials required for project execution

Delays caused by client inaction may impact delivery timelines.

4. Payments & Billing

• All payments must be made according to agreed project terms or invoices
• Work may be paused if payments are delayed
• Fees are non-refundable unless explicitly agreed otherwise in writing

5. Intellectual Property

Unless otherwise agreed in writing:

• PR3NC2 retains ownership of tools, frameworks, and reusable systems
• Clients receive rights to final deliverables upon full payment
• Unauthorized reproduction or resale of our work is prohibited

6. Project Delivery

Delivery timelines are estimates based on project scope and client responsiveness. We are not liable for delays caused by changes in scope or incomplete client input.

7. Limitation of Liability

PR3NC2 is not liable for indirect, incidental, or consequential damages, including loss of revenue, data, or business opportunities arising from use of our services.

8. Termination

We reserve the right to terminate or suspend services if:

• There is breach of agreement
• Abusive or non-cooperative behavior occurs
• Payments are not fulfilled

9. Confidentiality

Both parties agree to maintain confidentiality of sensitive business and project information shared during engagements.

10. Changes to Terms

PR3NC2 may update these Terms at any time. Continued use of our services constitutes acceptance of the revised Terms.

11. Governing Law

These Terms shall be governed by the laws of the Federal Republic of Nigeria, and disputes shall be resolved in competent Nigerian courts.
